Client Inputs
1. Client will provide all inputs (i.e. content, images etc.) in soft and printable format.
2. If Giraffe Creatives needs to source for images, these will be additionally charged and purchased post necessary approvals & authorisations from the client.
3. All inputs shall be provided through a documented source via email/courier that can be tracked.
Initial Concept Delivery
1. Giraffe Creatives will begin the design development process upon receiving the initial payment of 50% advance. The confirmation of receipt of advance in bank will be notified through an email.2. Giraffe Creatives will take 5 working days to deliver the 1st draft of concept designs.
Revision Cycles
1. Revision cycles will consist maximum of 3 rounds of additional compositions that incorporate changes requested by the client in the feedback.
2. The 1st revision can be on the design change but the 2nd & 3rd changes/modifications have to be on an approved design.
3. After the 3rd round of changes, an additional fee will be charged if any more revisions/changes are required. This will be shared with the client for approvals & authorisations.
4. All revisions will be done by Giraffe Creatives only when received in writing.
Approvals
1. It is advised that the client should approve the designs very carefully.
2. Once the client has given final approval on a design, all liabilities for errors, changes, or alterations become the responsibility of the client. Giraffe Creatives will not be liable for any reprint costs or damages of any kind resulting from any errors. Charges for alterations or changes made after client approval will be made at the discretion of Giraffe Creatives and the client shall be liable for any charges imposed.
It is the client's responsibility to check everything thoroughly.
File Formats & Delivery
1. The initial sharing of files will be done via emails in jpg format
2. The final file will be delivered in Adobe Illustrator format, in open format with all links & fonts used
3. Final files will be uploaded and a link will be provided from which they can be downloaded
4. Post delivery of final files, if the files are required again. A charge of INR 2000 will be levied
Project Duration
1. Client agrees to provide timely responses to Giraffe Creatives after receiving status notifications from Giraffe Creatives.
2. Client shall have the mentioned number of days (against each package) to respond to each set of creatives submitted to Client for review. If after a maximum of 30 days the Client has failed to so respond, Giraffe Creatives will assume the Project complete and the Project shall be deemed to be complete. At such time, Giraffe Creatives shall & will have no further obligation to Client, and Client shall pay Giraffe Creatives all fees and expenses associated with work performed by Giraffe Creatives.
Payment
1. Payment is made through cheque or draft in the name of 'Giraffe Creatives' payable at New Delhi.
2. Payment schedule will be as below:
50% advance
50% on before delivery of final artworks
3. Accounts outstanding for a period in excess of 30 days, may, at the discretion of Giraffe Creatives be subjected to a charge of 2% interest per month calculated daily from the date of invoice
4. Accounts outstanding for a period in excess of 30 days, may, at the discretion of Giraffe Creatives be subjected to a charge of 2% interest per month calculated daily from the date of invoice
Refund
1. Refunds are not available once the initial designs have been created and supplied to the client, but refunds for incomplete work (in case the job has not started) will be considered at the discretion of the management.
2. Should Client receive such refund, they acknowledge that they will have no right (express or implied) to use any response/samples or other work product supplied by Giraffe Creatives.
Termination
1. Either party can terminate the agreement with a 30 days notice period.
2. Upon termination of this agreement by the Client or by Giraffe Creatives, Giraffe Creatives shall retain any initial payments and the Client shall pay Giraffe Creatives for all hours expended on the project, up to the date of termination. This balance money will be notified by Giraffe Creatives within 1 week of termination.
Trademarks
1. Client has to perform researching on their company name to be sure the name is not already in use and securing a trademark or service mark to protect the Client's legal rights to any name or image.
2. Giraffe Creatives is not and will not be held responsible for any legal action that may result from improper research done by the client.
Ownership/Copyrights
1. Ownership (copyright and title) of the final artwork become the property of the Client, having unlimited, indefinite, and royalty-free use only upon payment of all fees.
2. Giraffe Creatives retains rights to display the artwork in portfolio, exhibition, advertising materials & other self promotional purposes.
3. All concepts, or other preliminary materials, which are not selected by the Client or are not included into the final delivery, and shall remain the full property of Giraffe Creatives
4. All released designs/date will be removed from Giraffe Creatives computers after 45 days of final delivery of designs.
General
1. Giraffe Creatives may accept or reject client's requirements in its sole discretion.
2. Giraffe Creatives shall have the right to include a credit line on the final approved designs. The client shall not without written approval remove.
3. Neither Giraffe Creatives or client shall incur any liability, penalty or additional cost due to delays caused by a state of war, riot, civil disorder, fire, labor trouble or strike, accidents, energy failure, equipment break down, delays in shipment by suppliers or carriers, action of government or civil authority, and acts of God or other causes beyond the control of Giraffe Creatives or the client
4. Our service is inexpensive because we prefer to communicate via email. We have found that this is a very effective way of working, making communication concise and on the record. It also saves many hours talking to our clients either at meetings or by telephone
5. The packages are specifically for one single brand only
6. Packages are fixed and items within the package are non-negotiable. During the course of a package the package cannot be switched onto another package
6. Client must be over 18 years of age to order from Giraffe Creatives
7. All disputes will be referred to the courts of New Delhi jurisdiction
8. Monday - Friday are the working days for Giraffe Creatives
9. We follow Indian Standard Time
